Qatar General Insurance & Reinsurance Company: Supplementary Disclosure Regarding the Results of the Second Extraordinary General Assembly Meeting

 

Further to the disclosure of Qatar General Insurance and Reinsurance Company regarding the results of the Second General Assembly Meeting for the year 2024 and 2025, Qatar General Insurance and Reinsurance Company discloses the results of the Second Extraordinary General Assembly meeting held on 20 July 2026, as follows:

First: The Extraordinary General Assembly, by the majority of two-thirds of the shares represented at the meeting, approved the following items:

1. Amending the Company’s Article of Association, in alignment with Law No. (8) of 2021 amending some provisions of Commercial Companies law promulgated by Law No. (11) of 2015;

2. Amending the Company’s Article of Association, in alignment with the instructions of the Qatar Central Bank;

Second: The following items were not approved by the Extraordinary General Assembly due to not obtaining the two-thirds majority of the shares represented at the meeting:

3. Changing of the name of Qatar General Insurance & Reinsurance Company to become "Qatar General Insurance & Reinsurance Group" and amend the Company’s Article of Association accordingly;

4. Authorizing the Chairman of the Board of Directors or the Vice Chairman to complete the necessary procedures and approvals for the amendments of the Article of Association before all governmental entities.
